Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective April 1, 2024, Robert Sanchez, currently President and Chief Executive Officer of Orange and Rockland Utilities, Inc. (“O&R”), a wholly-owned subsidiary of Consolidated Edison, Inc., will transfer to become President, Shared Services of Consolidated Edison Company of New York, Inc. (“CECONY”), a wholly-owned subsidiary of Consolidated Edison, Inc. In this new position, Mr. Sanchez will be responsible for shared services organizations that provide services to both CECONY and O&R.
